Theos Platform Terms of Service
Effective Date: October 7, 2025
1. Acceptance of Terms
By creating an account or otherwise using the Theos platform ("Theos" or the "Service"), you agree to be bound by these Terms of Service ("Terms"). Theos is owned and operated by Theos Artificial Intelligence, Inc. ("Theos AI", "we", "us", or "our"). You must accept these Terms as a condition of using the Service. If you do not agree, you must not use Theos.
You represent that you are authorized to use Theos and to agree to these Terms. If you are using Theos on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms. You must be at least the age of majority in your jurisdiction (or 18 years old, whichever is greater) to use Theos. By accepting these Terms, you also agree to our Privacy Policy which describes how we handle your data.
2. Accounts and User Responsibilities
Account Registration: To use Theos, you must create an account and provide accurate, up-to-date information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to use strong passwords and keep your login information secure. You are responsible for all actions taken using your account.
Account Ownership and Teams: Accounts may be created for individuals or for organizations (teams). If you are invited to Theos under an organization's account, that organization (the "Customer") is considered the owner of the account. The Customer may manage or restrict your access, and may view or control data within the team account. By using Theos as part of a team, you acknowledge that your data and activity on Theos may be accessible to the organization's administrators. If you are the administrator of a team account, you are responsible for ensuring that all team members abide by these Terms.
User Responsibilities: You agree to:
- Provide truthful information: You will provide accurate registration information and keep it updated.
- Use the Service legally: You will only use Theos for lawful purposes and in compliance with these Terms and all applicable laws. This includes obtaining any necessary consents for contacting individuals through Theos (for example, complying with email or messaging consent laws for sales outreach).
- Keep credentials secure: You are responsible for maintaining the security of your account login and any API keys or tokens associated with third-party integrations. Do not share your account credentials with unauthorized persons.
- Monitor and control your team: If you manage an organization on Theos, you will ensure that your authorized users follow these Terms. You are responsible for actions taken by users you invite to your team's workspace.
If you become aware of any unauthorized use of or access to your account, you must notify us immediately at contact@theos.ai.
3. Permitted Use and Restrictions
We provide Theos as a software-as-a-service platform for sales outreach automation using AI. You are permitted to use Theos to create and manage sales campaigns, which may include sending messages or connection requests via integrated third-party platforms (like LinkedIn or Instagram) and scheduling meetings via integrations (like Calendly). Your use of Theos must always comply with these Terms and the Acceptable Use guidelines below.
Prohibited Conduct: You agree not to misuse Theos. In particular, you shall not:
- Violate laws or rights: Do not use Theos to violate any law, regulation, or the rights of others. This includes (but is not limited to) spam regulations, privacy laws, intellectual property rights, and anti-harassment laws.
- Unauthorized access: Do not attempt to probe, scan, or test the vulnerability of any Theos system or network, or breach any security or authentication measures. Do not access or use any non-public areas of the Service or our systems.
- Interfere with the Service: Do not interfere with or disrupt the integrity or performance of Theos. For example, you must not deploy any viruses, worms, or harmful code on the platform, or engage in denial-of-service attacks.
- Impersonation or fraudulent activity: Do not impersonate any person or entity, or misrepresent your affiliation, in your use of Theos. You must not use Theos to send fraudulent or misleading communications.
- Reverse engineering: You will not reverse engineer, decompile, or attempt to extract the source code of Theos or any related technology, except to the extent allowed by law.
- Resale or unauthorized use: You may not rent, lease, sublicense, sell, or re-host the Service to or for third parties without our prior written authorization.
We reserve the right to investigate and take appropriate action (including suspension or termination of accounts) for any conduct that we reasonably believe violates the above restrictions or any other provision of these Terms.
4. Third-Party Integrations and Services
Theos integrates with certain third-party platforms and services to enhance your outreach capabilities. By connecting a third-party account to Theos, you understand and agree to the following:
Supported Integrations: Theos currently supports integrations with platforms such as LinkedIn, Instagram, Calendly, and potentially other services. For example, you may connect your LinkedIn account to send connection requests or messages, connect Instagram to manage direct messaging, or connect Calendly to automate meeting scheduling.
OAuth and Credentials: When you connect a third-party service, Theos uses official API methods (such as OAuth) to gain authorized access. We do not store your third-party account passwords. Instead, Theos stores authentication tokens or keys provided by those services to perform the integration (for instance, access tokens for LinkedIn or Instagram APIs, or OAuth tokens for Calendly). These tokens are stored securely and are used only to provide the integration functionality.
User Responsibility for Integrations: You are responsible for complying with the terms and policies of any third-party services you integrate with Theos. For example, when using the LinkedIn integration, you must abide by LinkedIn's user agreement and policies. Theos is not responsible for any violations of third-party service terms caused by your use of the integration.
Data from Integrations: By connecting a service, you grant Theos permission to act on your behalf on that platform to the extent necessary. For instance, if you connect LinkedIn, Theos may read your LinkedIn contacts or conversations (with your consent) and send messages or connection requests you initiate. Similarly, connecting Instagram or other platforms allows Theos to send messages or retrieve data as instructed by you. All such data from third-party accounts will be handled in accordance with our Privacy Policy.
Third-Party API Limits and Changes: Third-party services may have their own API usage limits or may change their integration rules. Theos has no control over these services and cannot guarantee continuous compatibility. We may need to modify or suspend an integration if required by the third-party provider or if the provider limits or blocks our access. We will attempt to inform you of any major changes affecting integrated services.
Please note that Theos is not endorsed by or affiliated with LinkedIn, Instagram, Calendly, or other third-party services we integrate with, beyond simply making their authorized integration available to you.
5. Service Availability and Changes
Availability: We strive to keep Theos operational and accessible 24/7, but we do not guarantee uninterrupted service. Theos may occasionally be unavailable for scheduled maintenance, updates, or unforeseen outages. We will attempt to provide advance notice for scheduled downtime, but there may be instances (such as emergencies or force majeure events) where notice is not possible.
No Guarantee of Results: Theos is designed to assist with sales outreach and automate processes using AI, but we do not guarantee any specific outcomes (such as a certain number of leads, responses, or sales). You acknowledge that results depend on many factors outside our control, including the content of your campaigns and external recipient behavior.
Changes and Updates: We are continually improving Theos. We may update the Service (for example, by adding or removing features, or patching software) at our discretion. We will endeavor to inform users of significant changes (such as major new features or deprecations). Continued use of Theos after an update constitutes acceptance of the Service as updated. If you do not agree with an update or change, you may need to stop using the Service.
Beta Features: If we release features labeled as "beta" or "preview," those are provided on an as-is and as-available basis for evaluation. Such features may be incomplete or change significantly, and we are not liable for issues arising from their use.
6. Suspension and Termination of Accounts
By You: You may stop using Theos at any time. You may also delete your account by contacting us at contact@theos.ai or using any account deletion feature we provide. Deleting your account will remove or anonymize personal data associated with your account as described in our Privacy Policy (subject to data retention obligations for legal compliance).
By Us: We reserve the right to suspend or terminate your access to Theos (or certain features of Theos) at our discretion, with or without notice, if we determine that: (a) you have violated these Terms or misused the Service (including any prohibited conduct in Section 3 or integration misuse in Section 4); (b) your use of Theos poses a security risk or could adversely impact the Service or any other users; (c) we are required to do so by law or a governmental authority; or (d) you fail to pay any applicable fees for a paid tier of the Service (if applicable). We will make a good faith effort to notify you of the reason for suspension or termination, unless legal or security considerations prevent us from doing so.
Effect of Termination: Upon termination of your account, whether by you or us, your right to use Theos will cease. We may immediately deactivate or delete your account and all associated data. However, we may retain certain information as required by law or as outlined in the Privacy Policy (e.g., backup copies or logs). Sections of these Terms that by their nature should survive termination (such as indemnification, limitation of liability, and governing law) will remain in effect.
7. Disclaimers
As-Is Service: Theos is provided "AS IS" and "AS AVAILABLE", without warranty of any kind. To the maximum extent permitted by law, Theos AI disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that: (a) Theos will meet your specific requirements or expectations; (b) Theos will be uninterrupted, timely, secure, or error-free; or (c) any results obtained from the use of Theos will be accurate or reliable.
No Legal or Professional Advice: Any AI-generated suggestions or content provided by Theos (for example, message drafts or campaign recommendations) are for informational purposes. You are responsible for reviewing and determining the appropriateness of such content. Theos does not guarantee that use of the Service will ensure compliance with any laws or regulations. You should seek your own professional advice to ensure your use of Theos aligns with your legal and business obligations.
Third-Party Services: We make no warranty or representation regarding any third-party services or content (including LinkedIn, Instagram, Calendly, or others) that you access through Theos. Your interactions with third-party services are governed by your agreements with those third parties. We are not responsible for the acts or omissions of third-party providers.
Some jurisdictions do not allow the disclaimer of certain warranties, so some of the above disclaimers may not apply to you. In such cases, the warranties will be disclaimed to the fullest extent permitted by applicable law.
8. Limitation of Liability
To the maximum extent permitted by law, in no event will Theos AI (and its officers, directors, employees, agents, and affiliates) be liable for: (a) any indirect, consequential, incidental, special, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) Theos, even if we have been advised of the possibility of such damages; and (b) any aggregate liability for all claims relating to Theos that exceeds the amount you paid us (if any) for the past six months of the Service in question.
This limitation of liability applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability will be limited to the fullest extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Theos AI and its affiliates, officers, agents, and employees from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with: (a) your use of Theos (including actions taken under your account); (b) your violation of these Terms; or (c) your infringement of any intellectual property or other right of any other person or entity. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of these claims.
10. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. You agree that any disputes will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. Notwithstanding the foregoing, Theos AI may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
If you are a consumer and mandatory local consumer protection laws (or other laws) set a different governing law or venue for disputes, those laws may apply to such disputes to the extent required.
11. Changes to These Terms
We may revise or update these Terms from time to time. If we make material changes, we will notify users by email or by posting a prominent notice on our site or within the Service prior to the change becoming effective. The notice will designate a reasonable period after which the new terms will take effect. By continuing to use Theos after updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the changes, you should stop using Theos and, if applicable, cancel your account before the new Terms take effect.
The "Effective Date" at the top of this document indicates when these Terms were last updated.
12. Miscellaneous
Entire Agreement: These Terms (along with the Privacy Policy and any additional agreements you've made with us in writing) constitute the entire agreement between you and Theos AI regarding the Service, and supersede any prior agreements or understandings.
Waiver and Severability: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Assignment: You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms (in whole or in part) at any time, for example in the event of a merger, acquisition, or sale of assets, or by operation of law.
No Third-Party Beneficiaries: These Terms do not confer any rights or remedies on any person other than you and Theos AI and our respective successors and permitted assigns.
Notices: We may provide you with notices, including those regarding changes to these Terms, by email to the address associated with your account, by regular mail, or by postings within the Service.
