Theos Platform Terms of Service

Effective Date: June 1, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Theos, including our websites, web application, mobile applications, public API, integrations, automation features, and related services (collectively, the "Service"). The Service is owned and operated by Theos Artificial Intelligence, Inc. ("Theos AI," "we," "us," or "our").

By creating an account, using the Service, connecting an integration, or using the Theos API, you agree to these Terms and to our Privacy Policy. If you use Theos on behalf of a company or other organization, you represent that you have authority to bind that organization, and that organization is responsible for your use of the Service.

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use Theos.

2. Accounts, Workspaces, and User Responsibilities

Account registration: You must provide accurate, current information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials, API keys, connected account tokens, and any actions taken under your account or workspace.

Organizations and teams: Workspaces may be owned by an organization. Organization administrators may manage users, roles, campaigns, contacts, conversations, settings, billing, integrations, and other workspace data. If you administer a workspace, you are responsible for ensuring that authorized users comply with these Terms.

Security responsibilities: You must use reasonable security practices, including protecting passwords, API keys, third-party credentials, devices, and connected accounts. You must promptly notify us at contact@theos.ai if you suspect unauthorized access, credential compromise, or misuse of your account.

Data responsibility: You are responsible for the legality, accuracy, quality, and source of data you import, upload, generate, or send through Theos, including contact lists, lead data, message content, prompts, files, recordings, transcripts, webhooks, API payloads, and campaign configuration.

3. Permitted Use and Restrictions

Theos is a software-as-a-service platform for AI-assisted sales engagement, campaign automation, conversation management, scheduling, analytics, mobile workflows, and developer integrations. You may use Theos only in compliance with these Terms, applicable law, platform policies, and the rights of others.

You agree not to:

  • use Theos to violate privacy, marketing, anti-spam, telemarketing, consumer protection, employment, export, sanctions, anti-discrimination, or other applicable laws;
  • contact people without any required consent or lawful basis;
  • send deceptive, fraudulent, harassing, abusive, unlawful, or misleading communications;
  • impersonate others or misrepresent your affiliation, identity, authority, product, offer, or intent;
  • import, process, or target sensitive personal information where doing so would violate law or platform policy;
  • bypass, disable, overload, or interfere with Theos systems, rate limits, security controls, billing controls, platform safeguards, or third-party restrictions;
  • reverse engineer, decompile, scrape, copy, resell, sublicense, or re-host the Service except as allowed by law or a written agreement with us;
  • use Theos to transmit malware, harmful code, or unauthorized tracking technologies;
  • use Theos to build a competing service using non-public features, data, or interfaces; or
  • permit unauthorized users to access your account, workspace, API keys, or connected accounts.

We may investigate suspected violations and may suspend, limit, or terminate access where we reasonably believe the Service is being misused or where required to protect Theos, users, third-party platforms, or the public.

4. Third-Party Platforms and Integrations

Theos integrates with third-party platforms and providers, which may include LinkedIn, Sales Navigator, Instagram, Facebook, Messenger, WhatsApp Business Platform, Google Calendar, Microsoft Outlook Calendar, Calendly, Stripe, AI providers, communication tools, proxy or browser infrastructure providers, and other supported services.

Authorization and credentials: When you connect an integration, you authorize Theos to access and use that integration as needed to provide the requested functionality. Theos may store tokens, credentials, cookies, account metadata, connection status, and related operational data. We do not need your third-party password for official OAuth integrations, but some provider workflows may require user-authorized connection methods or session-based credentials.

Platform rules: You are responsible for complying with each third-party platform's terms, policies, messaging rules, consent requirements, rate limits, template rules, and acceptable use requirements. Theos is not responsible for restrictions, account actions, outages, data loss, rejected messages, API changes, or enforcement decisions by third-party platforms.

User-directed actions: Theos may perform actions you configure or authorize, including sending messages, responding to comments, importing leads, updating contacts, creating campaigns, processing webhooks, creating or updating meetings, syncing calendars, and routing conversations. You are responsible for reviewing campaign configuration, prompts, content, recipients, timing, and compliance before launch.

Google Workspace API data: If you connect Google Workspace services such as Google Calendar, Theos may receive raw or derived user data from Google APIs only as authorized by you and only as necessary to provide the integration functionality you request. Theos's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Third-party changes: Third-party services may change APIs, policies, pricing, limits, permissions, or availability. We may modify, suspend, or discontinue integrations when necessary, including where a provider limits or blocks access.

Theos is not endorsed by or affiliated with LinkedIn, Meta, Google, Microsoft, Calendly, Stripe, or other third-party services except where expressly stated.

5. Public API, Webhooks, and Developer Use

If you use the Theos public API, SDKs, webhook features, or developer tooling, you must secure your API keys and credentials, use only documented endpoints and supported methods, and comply with rate limits, payload limits, authentication requirements, and any usage rules we publish.

We may throttle, reject, suspend, rotate, or revoke API keys or webhook delivery where needed to protect the Service, prevent abuse, enforce subscription requirements, comply with law, or address security risk. Webhook delivery, API availability, and third-party platform delivery are not guaranteed.

You are responsible for data imported or exported through the API, including ensuring that contacts, campaign content, prompts, flows, and webhook payloads are lawful and authorized.

6. AI Features and User Content

Theos may use artificial intelligence to draft messages, classify leads, summarize conversations, recommend next steps, generate campaign prompts or flows, transcribe audio, process files, or assist with other workflows.

AI outputs may be inaccurate, incomplete, offensive, non-compliant, or unsuitable for your use case. You are responsible for reviewing, editing, approving, and monitoring AI-generated or AI-assisted content before using it externally. Theos does not provide legal, financial, employment, compliance, or other professional advice.

You retain ownership of content you provide to Theos, subject to the rights needed for us to operate the Service. You grant Theos a limited license to host, process, transmit, display, generate, transform, and otherwise use your content as necessary to provide, secure, support, and improve the Service as described in these Terms and our Privacy Policy.

7. Billing, Plans, and Payment

Some parts of the Service require a paid subscription, usage credits, custom plan, or other paid arrangement. Fees, billing cycles, included usage, credits, overages, discounts, trials, and payment terms are presented at checkout, in an order form, in the app, or in a separate written agreement.

Payments may be processed by Stripe or another payment provider. You authorize us and our payment providers to charge applicable fees, taxes, renewals, overages, and other amounts due. Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed in writing.

If payment fails, credits are exhausted, usage exceeds limits, or your plan becomes inactive, we may limit, suspend, downgrade, or terminate access to paid features, campaigns, integrations, API usage, or the Service.

8. Service Availability and Changes

We work to provide a reliable Service, but we do not guarantee uninterrupted, secure, or error-free operation. Theos may be unavailable due to maintenance, updates, outages, third-party platform issues, security incidents, network failures, or events outside our control.

We may add, change, suspend, or remove features, integrations, limits, plans, and policies. Beta, preview, experimental, or early access features are provided as-is and may change or be discontinued at any time.

Theos does not guarantee specific sales, lead, response, conversion, deliverability, ranking, account health, platform approval, or revenue results.

9. Suspension and Termination

You may stop using Theos at any time and may request account deletion as described in our Privacy Policy.

We may suspend or terminate your account, workspace, campaigns, integrations, API keys, or access to the Service if we reasonably believe that you violated these Terms, failed to pay amounts due, created security or legal risk, abused third-party platforms, caused harm to Theos or others, or if we are required to do so by law or third-party platform requirements.

After termination, your right to use the Service ends. We may delete or anonymize account data subject to retention described in our Privacy Policy. Terms that by their nature should survive termination will continue to apply.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEOS AI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND RESULTS.

We do not warrant that the Service, integrations, AI outputs, API, webhooks, messages, automations, calendar workflows, or third-party platform actions will be uninterrupted, error-free, secure, compliant, available, delivered, accepted, or successful.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

11. Limitation of Liability

To the maximum extent permitted by law, Theos AI and its affiliates, officers, directors, employees, agents, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, platform account actions, failed delivery, or loss of opportunities, arising out of or related to the Service.

To the maximum extent permitted by law, our aggregate liability for all claims related to the Service will not exceed the amount you paid us for the Service giving rise to the claim during the six months before the event giving rise to liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless Theos AI and its affiliates, officers, directors, employees, agents, and providers from and against third-party claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your content or data, your campaigns or communications, your API or webhook usage, your violation of these Terms, your violation of law or third-party platform terms, or your infringement or misappropriation of rights.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of Delaware, United States, without regard to conflict of laws rules. You agree that disputes will be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction and venue of those courts.

If mandatory consumer protection or other local laws require a different governing law or forum, those laws apply only to the extent required.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and may notify you by email, in-app notice, or website notice. Continued use of the Service after updated Terms become effective means you accept the updated Terms.

15. Miscellaneous

These Terms, together with the Privacy Policy and any written order form or agreement between you and Theos, are the entire agreement between you and us regarding the Service.

If any provision is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law. These Terms do not create third-party beneficiary rights.
